7. Fees, Billing, and Refunds

Disputely offers both free and paid services. Paid services may include:

All fees are non‑refundable unless explicitly stated. You authorize Disputely to charge your payment method for all applicable fees. Pricing may change at any time; continued use constitutes acceptance.

8. Intellectual Property Rights

All content, software, trademarks, and technology on the Platform are owned by Disputely LLC or its licensors.

You retain ownership of content you upload but grant Disputely a non‑exclusive, royalty‑free, worldwide license to use, reproduce, modify, and display such content solely to provide and improve the Platform's business‑consulting services.

You may not copy, modify, distribute, or create derivative works without written consent.

9. Dispute Resolution and Governing Law

a. Mediation First

Before initiating any formal legal proceeding, both parties agree to attempt resolution through confidential, good‑faith mediation conducted via the Disputely.org platform.

b. Binding Arbitration

Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through final and binding arbitration under the Federal Arbitration Act. Arbitration shall be conducted in English and held in Sedgwick County, Kansas, unless both parties agree to a virtual format.

c. Waiver of Class Actions and Jury Trials

You and Disputely waive any right to a jury trial or to participate in class actions, class arbitrations, or representative proceedings.

d. Attorney's Fees

The prevailing party in arbitration or litigation shall be entitled to recover reasonable attorney's fees and costs.

e. Injunctive Relief

Either party may seek injunctive or equitable relief in Kansas courts to prevent misuse of confidential information or intellectual property.

10. Electronic Signatures and Communications

You agree that electronic signatures and records (e.g., DocuSign) are valid and enforceable. You consent to receive communications electronically, and such communications satisfy legal notice requirements.

11. Force Majeure

Disputely is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, government actions, labor disputes, internet outages, or system failures.

12. Notice Delivery

Notices are deemed delivered when:

  • Sent to the email associated with your account, or
  • Posted on the Platform for at least 24 hours

13. Termination

We may suspend or terminate your access for violations of these Terms, fraud, misuse, or operational necessity. Upon termination, your right to use the Platform ceases immediately.

14. Survival

The following provisions survive termination:

Intellectual Property, AI Disclaimer, Fees, Governing Law, Dispute Resolution, Indemnity, Severability, and Notice.

15. Further Assurances

You agree to execute any additional documents and take any further actions reasonably necessary to give full effect to this Agreement.

16. Counterparts

This Agreement may be executed in counterparts, each deemed an original, together forming one instrument.

17. Successors and Assigns

This Agreement binds and benefits the parties and their respective permitted successors and assigns.

18. Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other right.

19. Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

You agree to indemnify, defend, and hold harmless Disputely LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including attorney's fees) arising from:
